UAE Top-up Tax Guide: Scope, Registration and MNE Group Checks

Finance professionals reviewing a multinational group structure and UAE tax compliance checklist

The UAE’s Top-up Tax is a specialist regime aimed at large multinational enterprise groups, not a second corporate-tax charge that every small company automatically pays. The first task is to establish the group boundary, consolidated revenue and entity locations. A UAE company should not decide it is outside scope merely because its own local turnover is modest; the test is applied at multinational group level.

The Federal Tax Authority’s official October 2026 announcement explains that the new guide covers scope, entity types, permanent establishments, joint ventures, flow-through and hybrid entities, registration procedures and the Pillar Two Information Return. It states that the UAE QDMTT applies to UAE constituent entities in an MNE group with annual revenue of at least EUR750 million in the consolidated financial statements of the ultimate parent entity in at least two of the four immediately preceding fiscal years.

Start with a scope file

Check Evidence to gather Owner
Group definition Legal chart and consolidation perimeter Group tax or legal
Revenue threshold Four years of consolidated statements Finance
UAE entities Licences, registrations and ownership Local finance or legal
Permanent establishments Branch and activity analysis Tax team
Registration FTA account, authority and deadlines Authorised signatory
Information return Data map and responsible filing entity Group reporting

Groups operating only in the UAE are outside the QDMTT scope according to the FTA announcement, regardless of revenue. A group with entities or permanent establishments in more than one jurisdiction needs a careful factual analysis. Do not use the presence of foreign customers alone as a shortcut; the legal group and entity-location rules matter.

Questions for the first internal meeting

  • Who is the ultimate parent entity and which standard governs consolidation?
  • Was the EUR750 million threshold met in at least two of the relevant four years?
  • Which UAE entities, branches and permanent establishments may be constituent entities?
  • Are any joint ventures, flow-through entities or hybrid entities involved?
  • Which team owns registration and filing access?
  • Where will accounting, payroll and tax-adjustment data come from?
  • What review and sign-off calendar is needed?

The UAE corporate tax for natural persons guide concerns a different regime and threshold. The corporate-tax return checklist likewise should not be treated as a Top-up Tax filing calendar.

Registration is a controlled process

Assign one responsible owner and document who can act for each entity. Confirm that legal names, licence information and group details agree across records before submission. If the group uses an external tax agent, management should still understand the assumptions and keep copies of filed information and supporting evidence.

The UAE business document guide offers general record-control principles. For digital account security, use the small-business cyber-response guide as a baseline, then apply stricter access controls appropriate to a multinational tax function.

Build a data map before the deadline

Top-up Tax calculations can require information that is not stored in a single ledger. Map the source system, owner, currency, accounting standard, adjustment process and evidence for each data field. Identify differences between the consolidated statements and local books early. A late spreadsheet assembled without version control is difficult to review and defend.

The UAE expense-records guide shows how to connect transactions with supporting documents. Groups preparing broader digital reporting can also read the UAE e-invoicing accreditation guide, while remembering that e-invoicing and QDMTT are separate obligations.

When to seek specialist advice

Professional review is sensible when the group is close to the revenue threshold, has reorganised, operates through branches, includes joint ventures or has uncertain entity locations. The FTA guide should be read in full; a summary cannot replace the legislation or facts. Record the conclusion even when the group determines that a UAE entity is outside scope, and schedule an annual reassessment.

Questions people often ask

Does UAE Top-up Tax apply to every business?

No. It targets UAE constituent entities of in-scope multinational groups, subject to the detailed rules and the EUR750 million group-revenue test.

What is the revenue test?

The FTA states that the threshold is met when consolidated annual revenue is at least EUR750 million in at least two of the four immediately preceding fiscal years.

Are UAE-only groups in scope?

The FTA announcement says groups conducting their activities exclusively within the UAE are outside QDMTT scope regardless of revenue.

Does a branch need to be reviewed?

Yes. Permanent establishments and branches require analysis under the guide; do not assess only incorporated subsidiaries.

Is ordinary corporate-tax registration enough?

Do not assume so. Top-up Tax has its own scope, registration and information requirements that must be checked separately.
